Welcome to Quote-Green ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Quote-Green platform, website (www.quote-green.com), software, APIs, mobile applications, and all related services (collectively, the "Service"). By accessing or using the Service, you ("Subscriber," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
2.1. You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the Service.
2.2. You must provide accurate, current, and complete registration information and maintain the accuracy of such information.
2.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.4. You must immediately notify us of any unauthorized use of your account at support@quote-green.com.
2.5. We reserve the right to suspend or terminate accounts that contain false or misleading information.
3.1. Quote-Green provides AI-powered property measurement tools, quote generation, customer communication tools, and business management features for outdoor service companies.
3.2. MEASUREMENT ACCURACY DISCLAIMER: Property measurements provided by the Service are estimates generated using aerial imagery, AI algorithms, and third-party data sources. These measurements are NOT professional surveys. Quote-Green makes NO WARRANTY regarding the accuracy, completeness, or reliability of any measurement. Subscribers acknowledge that:
3.3. QUOTE ACCURACY DISCLAIMER: Quotes generated through the Service are based on information provided by the Subscriber (including service pricing, packages, and discounts). Quote-Green does not verify, endorse, or guarantee the accuracy of any quote. The Subscriber is solely responsible for the accuracy of their pricing, service descriptions, and all quote content.
3.4. The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the Service.
3.5. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.
4.1. Access to the Service requires a paid Subscription Plan. Plan details, pricing, and included features are described on our website and may be updated from time to time.
4.2. All fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.
4.3. Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal.
4.4. Price Changes: We may change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increase.
4.5. Overage Charges: If you exceed the property searches included in your plan, overage charges will apply at the rate specified for your plan tier. Overage charges are billed at the end of each billing cycle.
4.6. No Refunds: All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. Cancellation of a subscription will not result in a refund of any prepaid fees.
4.7. Failed Payments: If payment fails, we may suspend access to the Service. We will attempt to notify you before suspension. You remain responsible for all unpaid amounts.
4.8. All prices are in U.S. dollars unless otherwise stated. You are responsible for any applicable taxes.
You agree not to:
6.1. Our IP: The Service, including all software, algorithms, designs, text, graphics, trademarks, logos, and other materials, is the exclusive property of Quote-Green and is protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.
6.2. Your Content: You retain ownership of Content you upload to the Service. By uploading Content, you grant Quote-Green a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Content solely for the purpose of providing the Service.
6.3. Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by Quote-Green without any obligation or compensation to you.
6.4. Subscriber Branding: You are responsible for ensuring you have the right to use any logos, images, or branding materials you upload to the Service.
7.1. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2. Subscriber Responsibility: You are solely responsible for compliance with all applicable data protection and privacy laws regarding End Customer data you collect, store, or transmit through the Service, including but not limited to obtaining necessary consents.
7.3. Data Retention: Upon account termination, we may retain your data for up to 90 days. After this period, data may be permanently deleted. We are not obligated to maintain or provide any Content after termination.
7.4. Security: While we implement commercially reasonable security measures, no system is completely secure. We do not guarantee that the Service will be free from unauthorized access, data breaches, or other security incidents.
7.5. You are responsible for maintaining the security of your account credentials, email integrations, and any API keys.
8.1. The Service may integrate with or rely on third-party services (e.g., Google Maps, Stripe, PayPal, email providers, aerial imagery providers). These third-party services are governed by their own terms and policies.
8.2. Quote-Green is not responsible for the availability, accuracy, or performance of any third-party service.
8.3. Your use of third-party payment processors (including Stripe and PayPal) is subject to their respective terms of service. Quote-Green does not process or store payment card information directly.
8.4. Changes to third-party services may affect the functionality of the Service. We are not liable for any impact caused by third-party changes.
9.1. The Service may send emails on your behalf to your End Customers (e.g., quote emails, follow-ups, reminders). You are solely responsible for the content, accuracy, and legality of all communications sent through the Service.
9.2. You agree to comply with all applicable email and communications laws, including the CAN-SPAM Act, and any state or local regulations.
9.3. You will not use the Service to send unsolicited commercial communications to individuals who have not consented to receive them.
9.4. Quote-Green is not responsible for email delivery failures, delays, or messages marked as spam by recipient email providers.
10.1. The Service may calculate estimated sales tax amounts for quotes. These calculations are estimates only and are provided for convenience.
10.2. Quote-Green does NOT guarantee the accuracy of any tax calculation. You are solely responsible for determining and remitting the correct tax amounts to the appropriate taxing authorities.
10.3. You are solely responsible for compliance with all applicable federal, state, and local laws and regulations related to your business, including licensing, tax collection, and environmental regulations.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY MEASUREMENTS, CALCULATIONS, OR DATA PROVIDED BY THE SERVICE WILL BE ACCURATE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM QUOTE-GREEN OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QUOTE-GREEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF QUOTE-GREEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL QUOTE-GREEN'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO QUOTE-GREEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Quote-Green, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
14.1. By You: You may cancel your subscription at any time through your account settings or by contacting support@quote-green.com. Cancellation takes effect at the end of the current billing cycle.
14.2. By Us: We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to: violation of these Terms, fraudulent activity, non-payment, or conduct that harms other users or the Service.
14.3. Effect of Termination: Upon termination: (a) your right to access the Service immediately ceases; (b) any outstanding fees become immediately due; (c) we may delete your data after a reasonable retention period (see Section 7.3).
14.4. Sections 6, 11, 12, 13, 15, 17, and 18 survive termination.
15.1. These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
15.2. Subject to the arbitration provisions in Section 18, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction therein.
16.1. We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or through a notice on the Service.
16.2. Your continued use of the Service after any modification constitutes acceptance of the modified Terms.
16.3. If you do not agree with any modification, your sole remedy is to cancel your subscription and stop using the Service.
17.1. Entire Agreement: These Terms, together with the Privacy Policy and any Subscription Plan details, constitute the entire agreement between you and Quote-Green regarding the Service.
17.2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.3. Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any provision shall not constitute a waiver.
17.4. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
17.5. Force Majeure: Quote-Green shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, power outages, internet failures, or third-party service disruptions.
17.6. Independent Contractors: The relationship between Quote-Green and Subscribers is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
17.7. Notices: Notices to Quote-Green should be sent to support@quote-green.com. Notices to you will be sent to the email address associated with your account.
18.1. Informal Resolution: Before filing any formal dispute, you agree to first contact us at support@quote-green.com and attempt to resolve the dispute informally for at least 30 days.
18.2. Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
18.3. Class Action Waiver: YOU AND QUOTE-GREEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
18.4. Small Claims Exception: Either party may bring qualifying claims in small claims court.
18.5. Arbitration Location: Arbitration shall take place in New York, or at a mutually agreed location, or via video conference.
